2. Description of Services

2.1 Hélie Software

Name: Hélie
Nature: Application / software
Objective: Cognitive stimulation and therapeutic support for elderly people or those with disabilities.

2.2 Hôsea Touch Table

Name: Hôsea
Nature: Interactive touch device
Objective: To promote communication, autonomy, and cognitive stimulation through adapted digital content.

3. Access, Contract, Duration, and Termination 2. Description of Services

Access to Hélie and Hôsea services is subject to the signing of a sales and/or maintenance contract concluded between SAS Hélie Solution and the client (medical-social structure, establishment, or other professional).
The contract specifies the included services (provision of equipment, installation, maintenance, updates, etc.), as well as their financial conditions.
The contract is concluded for a fixed term of one year, renewable by tacit agreement for the same duration, unless otherwise stated.
Termination by the client: possible at the annual expiration, with a 30-day notice given in writing.
Early termination: each party may terminate early in the event of a serious breach by the other party, after a formal notice that remains ineffective for a period of 15 days.

4. Price, subscription, and right of withdrawal

The rates and subscription plans are communicated before subscription on quote or order form.
Prices are expressed in euros, excluding taxes (HT).
Payment: according to the terms defined in the contract (monthly, annually, etc.), by bank transfer.
Right of withdrawal: In accordance with Article L. 221-18 of the Consumer Code, consumers have a period of 14 days from the subscription to withdraw, without justification or penalty. A standard withdrawal form is available upon request.

5. Responsibilities – limitations and force majeure

SAS Hélie Solution implements all reasonable means to ensure the continuity of services.

Its liability cannot be engaged in case of:

- Non-compliant use by the user

- Temporary unavailability related to maintenance or a case of force majeure

In any case, the liability of SAS Hélie Solution is limited to the total amount of sums received under the contract in the last 12 months.


6. Legal guarantees

In accordance with Articles L. 224-25-12 and following of the Consumer Code:
The service is guaranteed against defects in conformity during the entire contractual period.
In case of malfunction, the user may request a compliance adjustment, a replacement, or a partial refund as applicable.

7. Personal data (GDPR)

Data controller: SAS Hélie Solution
Purposes: User tracking, service improvement, internal statistics
Legal basis: Contract execution and legitimate interest
Retention period: Data retained for the duration of the contract and 3 years after its termination, unless otherwise required by law
Rights of individuals:
- Access, rectification, deletion
- Portability
- Opposition or limitation
- Complaint to the CNIL (www.cnil.fr)

8. Cookies and trackers

Trackers may be used on digital interfaces to enhance the user experience.
A consent banner compliant with Article 82 of the Data Protection Act is displayed on the first visit.
The user can refuse or configure non-essential trackers at any time.


9. Applicable law and competent jurisdiction

These general terms and conditions are governed by French law.

In case of dispute, the courts of the jurisdiction of the registered office of SAS Hélie Solution are competent, subject to mandatory provisions protecting consumers.


10. Mediation and dispute resolution

In accordance with Article L. 612-1 of the Consumer Code, any consumer can access a mediator free of charge:

In the event of a dispute not resolved amicably, the mediator may be seized after a written complaint to SAS Hélie Solution, which has remained without a satisfactory response within 30 days.


Exclusion clause – Regulatory status

The Hélie services (software application) and Hôsea (interactive touch table) are designed for cognitive stimulation, educational or recreational support, but do not currently constitute medical devices within the meaning of Regulation (EU) 2017/745.
They must not in any case be used to establish a diagnosis, medical management, or a therapeutic decision without the intervention of a qualified health professional.
